OnDecember17,1990,theHongkongandShanghaiBankingCorporationannouncedastructuralreorganization,whichincludedtheestablishmentofagroupholdingcompanynamedHSBCHoldingsCo.,Ltd.,andtheupgradingoftheHongkongandShanghaiBankingCorporationLondonbranchtoTheregisteredofficeofHSBCHoldings.ThesharesofHSBCBankweretransferredtoHSBCHoldings,andHSBCHoldingsreissuednewshares,whichexchanged4sharesofHSBCBanksharesfor1shareofHSBCHoldingsshares,andreducedtheoriginalissuedsharesto3/4forfuturelistingsoverseas.AfterHSBCHoldingssharesreplacedHSBCshares,theywerelistedontheHongKongandLondonstockexchanges.HSBCHoldingsisregisteredintheUK,butusesHongKongasthegeneralmanagementofficeofthegroup.TheHongkongandShanghaiBankingCorporationisawholly-ownedsubsidiaryofHSBCHoldings,anditsregistrationinHongKongremainsunchangedtofacilitatethedevelopmentofHongKong'sbusiness.
In1991,HSBCHoldings,theparentcompanyofHSBCBank,wasestablished.TheHongkongandShanghaiBankingCorporationsharesweretransferredtoHSBCHoldings.TheHongkongandShanghaiBankingCorporationwaswholly-ownedbyHSBCHoldings.In1994,theHongkongandShanghaiBankingCorporation'sbusinessinMalaysiawastransferredtothelocallyincorporatedHSBCBankMalaysia.
